The Board of Directors of McAfee, Inc. (the "Company") sets high standards for the Company's employees, officers and directors. Implicit in this philosophy is the importance of sound corporate governance. It is the duty of the Board of Directors to serve as a prudent fiduciary for stockholders and to oversee the management of the Company's business. Stockholders may submit a recommendation of a candidate for the Board of Directors to the Corporate Secretary at: McAfee, Inc., Attn: Corporate Secretary, 3965 Freedom Circle, Santa Clara, CA 95054, Fax: (408) 346-5348. Prior to doing so, stockholders should review all of the requirements contained in the Company's Bylaws and Corporate Governance Guidelines that address the process by which a stockholder submit a recommendation of a candidate for the Board of Directors or notice of business otherwise to be brought before the Company's annual meeting of stockholders.
